IonQ Stock Drops 9% on $1.3 Billion Elisity Deal as Share…

IonQ (NYSE: IONQ) has agreed to acquire cybersecurity company Elisity in an all-stock transaction valued at up to $1.3 billion, its second billion-dollar-plus acquisition announced this year after the $1.8 billion SkyWater Technology deal.IonQ stock fell 9.34% to $36.19 as of 2:54 p.m. EDT on Monday, October 12, extending a much smaller premarket decline. Shares closed Friday at $39.89. The announcement brings another potential increase in IonQ’s share count as the quantum computing company expands into enterprise cybersecurity. The acquisition includes up to $150 million in performance-based earnout payments, while the number of shares issued at closing will depend on IonQ’s trading price within a defined range.

How IonQ’s $33.07-$49.61 Share Collar Works

Under the agreement announced October 12, IonQ will determine the number of shares issued using the volume-weighted average price (VWAP) over 20 trading days, excluding the third business day before closing and using the preceding 20-session period. The calculation price cannot exceed $49.61 or fall below $33.07 per share. This mechanism, known as a collar, limits how far fluctuations in IonQ’s share price can change the number of shares delivered.Excluding the contingent $150 million earnout, the initial consideration is approximately $1.15 billion. At Friday’s $39.89 close, dividing that amount by the share price implies roughly 28.8 million new shares. At the $49.61 ceiling, the calculation produces approximately 23.2 million shares. At the $33.07 floor, it increases to about 34.8 million. Against approximately 405 million shares currently outstanding, the Friday-price illustration represents a roughly 7.1% increase in the share count before any earnout consideration. These are illustrative calculations, not final issuance figures. Friday’s closing price does not determine the actual consideration, and the additional earnout depends on Elisity’s performance.

Elisity Adds Enterprise Cybersecurity, Not Quantum Hardware

Elisity develops Zero Trust network security software that identifies users, devices, workloads and AI agents before applying access policies designed to restrict unauthorized communications. Its IdentityGraph platform helps enterprises enforce least-privilege access and limit the spread of attacks across existing networks.IonQ intends to combine those capabilities with its post-quantum cryptography and quantum key distribution offerings, expanding its ability to sell cybersecurity services to corporate and government customers. The acquisition does not add a new quantum processor or directly advance IonQ’s qubit performance. Its immediate commercial proposition is enterprise network security, with potential future integration into quantum-resistant infrastructure.IonQ says Elisity has more than 100 customer deployments, has doubled both revenue and customer numbers year over year, and has experienced zero churn among deployed customers. The announcement does not disclose Elisity’s actual revenue, profitability or the measurement period underlying those customer-retention claims.Elisity CEO James Winebrenner will remain in charge of the business following completion.

IonQ’s Second Billion-Dollar Acquisition of 2026

The Elisity agreement follows IonQ’s approximately $1.8 billion acquisition of semiconductor foundry SkyWater Technology, announced in January and completed July 31. Unlike the entirely stock-funded Elisity transaction, SkyWater involved cash and shares.SkyWater expanded IonQ’s manufacturing capabilities, while Elisity adds cybersecurity software and enterprise relationships. Together, the transactions illustrate IonQ’s attempt to build a broader technology platform beyond quantum computing hardware. That strategy creates an important distinction for investors. As FinanceFeeds’ quantum computing stock valuation analysis highlighted, IonQ’s valuation already incorporates expectations extending well beyond its current revenue base. Its hardware commercialization timeline also remains relevant. FinanceFeeds previously examined IonQ’s Superion 256 sale to Florida International University, where installation is expected in late 2027.

What Comes Next for IonQ Stock?

IonQ expects the Elisity transaction to close in the fourth quarter of 2026, subject to regulatory approval and customary closing conditions.Investors will be watching the final 20-day VWAP, the resulting share issuance, and whether Elisity’s recurring cybersecurity revenue can justify the acquisition price. For now, the central question is whether IonQ can convert its growing portfolio of acquired businesses into sustainable revenue and profits without excessive dilution. The final share count and future financial disclosures will provide a more concrete test than the acquisition’s quantum-security positioning alone.
